LexorPay.Com may modify, enhance, suspend, or discontinue any Service at any time.
4. Merchant Responsibilities
The Merchant agrees to:
• Use the Services only for lawful business purposes;
• Comply with all applicable laws and regulations;
• Maintain accurate business information;
• Protect account credentials and API keys;
• Promptly notify LexorPay.Com of unauthorized access or security incidents;
• Cooperate with compliance and security reviews.
The Merchant remains solely responsible for its products, services, customers, and business activities.
5. Prohibited Activities
Merchants shall not use the Services for:
• Illegal products or services;
• Fraudulent activities;
• Money laundering;
• Terrorist financing;
• Sanctioned transactions;
• Counterfeit goods;
• Intellectual property infringement;
• Unauthorized financial services;
• Any activity prohibited by applicable law.
LexorPay.Com may immediately suspend or terminate Services where prohibited activities are identified or suspected.
6. Fees
The Merchant agrees to pay all applicable fees associated with the Services.
Fees may include:
• Transaction processing fees;
• Gateway fees;
• Chargeback fees;
• Refund fees;
• Currency conversion fees;
• Other fees communicated by LexorPay.Com.
LexorPay.Com may revise its pricing structure by providing reasonable notice.
7. Transaction Processing
LexorPay.Com will use commercially reasonable efforts to process payment transactions submitted through the Services.
LexorPay.Com does not guarantee:
• Transaction approval;
• Continuous availability;
• Specific processing times;
• Acceptance by issuing banks or payment networks.
All transactions remain subject to security checks, payment network rules, and regulatory requirements.
8. Refunds
Merchants are responsible for handling customer refund requests in accordance with their published policies and applicable law.
LexorPay.Com may facilitate refund processing where supported by the relevant payment method.
Refund processing times may vary depending on the payment provider, financial institution, or payment network involved.
9. Chargebacks and Disputes
Merchants remain fully responsible for all chargebacks, customer disputes, retrieval requests, and transaction reversals.
LexorPay.Com reserves the right to:
• Deduct chargeback amounts from future settlements;
• Recover losses arising from disputed transactions;
• Request supporting documentation;
• Suspend services where excessive chargebacks occur.
10. Security
LexorPay.Com maintains reasonable technical and organizational security measures to protect the integrity of its systems.
Merchants shall be responsible for:
• Securing their own systems;
• Protecting login credentials;
• Maintaining secure integration practices;
• Complying with applicable security requirements.
11. Intellectual Property
All rights, title, and interest in the Services, software, APIs, trademarks, logos, documentation, and website content remain the exclusive property of LexorPay.Com or its licensors.
No rights are granted except as expressly stated in these Terms.
12. Confidentiality
Each Party agrees to maintain the confidentiality of all non-public information obtained through the use of the Services.
Confidential information shall not be disclosed except:
• With prior written consent;
• As required by law;
• To professional advisers subject to confidentiality obligations.
13. Service Availability
LexorPay.Com aims to maintain reliable service availability but does not guarantee uninterrupted operation.
Maintenance, upgrades, network failures, third-party provider outages, or circumstances beyond our control may result in temporary service interruptions.
14. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.
LexorPay.Com expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including:

15. Limitation of Liability
To the maximum extent permitted by law, LexorPay.Com shall not be liable for:
• Indirect losses;
• Consequential damages;
• Loss of profits;
• Loss of revenue;
• Loss of business opportunities;
• Reputational damage;
• Data loss.
LexorPay.Com's total liability arising from the Services shall not exceed the total fees paid by the Merchant during the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
16. Indemnification
The Merchant agrees to indemnify and hold harmless LexorPay.Com, its officers, directors, employees, affiliates, and agents from any claims, liabilities, losses, damages, costs, penalties, and expenses arising from:
• The Merchant's business activities;
• Breach of these Terms;
• Violation of applicable laws;
• Customer claims;
• Chargebacks or disputes.
17. Suspension and Termination
LexorPay.Com may suspend or terminate access to the Services immediately where:
• Fraud is suspected;
• Security concerns arise;
• Regulatory obligations require action;
• The Merchant breaches these Terms.
The Merchant may terminate the Services by providing written notice subject to any contractual commitments.
18. Force Majeure
LexorPay.Com shall not be liable for any delay or failure resulting from events beyond its reasonable control, including:
• Natural disasters;
• Government actions;
• Internet failures;
• Telecommunications outages;
• Cyber incidents;
• Payment network disruptions;
• Labor disputes.
19. Amendments
LexorPay.Com reserves the right to amend these Terms at any time.
Updated Terms shall become effective upon publication on the LexorPay.Com website unless otherwise stated.
Continued use of the Services constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
21. Jurisdiction
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
